LLC "PARASHAR INDUSTRIES"
Effective Date: May 5, 2025
1. GENERAL PROVISIONS
These Terms of Use ("Terms") govern access to and use of the website www.parasind.com ("Site"), owned by LLC "PARASHAR INDUSTRIES" ("Company," "we," "us"), registered in Ukraine.
These Terms are developed with the Company's international audience in mind and comply with the requirements of Ukrainian law, European Union regulations, and internationally accepted standards.
By using the Site, you ("User," "you") confirm that you have read these Terms, understand their content, and agree to comply with them. If you do not agree with any provision, please discontinue use of the Site.
2. PURPOSE OF THE SITE
The Site is an informational and commercial resource of the Company, intended for:
— familiarization with the Company's products — prosthetic components and related accessories
— providing technical and commercial information to qualified professionals
— submitting inquiry requests and establishing business contacts
— supporting international partners, distributors, and procurement organizations
The Site is intended exclusively for a professional audience — certified prosthetists, rehabilitation specialists, medical institutions, distributors, NGOs, and procurement organizations worldwide.
The Site is not a platform for direct sales to end consumers and does not provide medical consultations.
3. MEDICAL DISCLAIMER
IMPORTANT!
All information on the Site is purely informational and commercial in nature and does not constitute:
— medical advice, diagnosis, or treatment prescription
— a recommendation regarding a specific device for a specific patient
— a substitute for consultation with a qualified physician or certified prosthetist
The selection, prescription, and fitting of prostheses must be carried out exclusively by qualified medical professionals, taking into account the individual clinical needs of the patient and in accordance with the national medical standards of the country of use.
The Company bears no responsibility for decisions made based on information from the Site without the involvement of an appropriate specialist.
4. REGULATORY COMPLIANCE
The Company's products are developed and manufactured in accordance with applicable quality and safety standards. Depending on the country of destination, products may be subject to local regulatory requirements, including:
— EU: Regulation (EU) 2017/745 on medical devices (EU MDR)
— Ukraine: requirements of the Ministry of Health of Ukraine and applicable technical regulations
— Other jurisdictions: local medical device legislation
The buyer or distributor is responsible for ensuring that the products comply with all local legal requirements in the country of sale and use. The Company provides the necessary technical documentation upon request.
5. INTELLECTUAL PROPERTY
All materials on the Site — texts, images, technical specifications, logos, graphics, videos, and source code — are the property of LLC "PARASHAR INDUSTRIES" or are used under appropriate licenses and are protected by Ukrainian law and international intellectual property treaties.
The following is permitted:
— viewing materials for personal or business familiarization purposes
— printing or saving individual pages for internal use
The following is prohibited without the Company's written consent:
— reproducing, copying, or distributing Site materials
— using materials for commercial purposes
— modifying or creating derivative works
— removing or altering copyright notices
6. ACCEPTABLE USE
By using the Site, you agree to:
— not violate applicable Ukrainian law, the laws of your country of residence, or international law
— not distribute malicious software or carry out cyberattacks
— not attempt to gain unauthorized access to the Company's systems
— not collect personal data of other users
— not send spam or unsolicited commercial messages through Site forms
— not use the Site in a manner that could damage the Company's reputation or mislead third parties
7. ACCURACY OF INFORMATION AND PRODUCT CHANGES
The Company makes every effort to keep the information on the Site current. However, technical specifications, availability, and prices of products may change without prior notice.
All information on the Site is of a preliminary nature. Final technical and commercial terms are determined exclusively within a separate written agreement between the Company and the Customer.
8. LIMITATION OF LIABILITY
To the extent permitted by applicable law, the Company is not liable for:
— any direct, indirect, or consequential damages arising from the use or inability to use the Site
— decisions made based on information from the Site without consulting an appropriate specialist
— temporary unavailability of the Site due to technical reasons or force majeure circumstances
— the content of external sites linked from our resource
— any damages resulting from unauthorized third-party access to the Site
Where applicable law does not permit certain limitations of liability, such limitations apply only to the maximum extent permitted.
9. LINKS TO THIRD-PARTY RESOURCES
The Site may contain links to external websites. Such links are provided solely for the user's convenience. The Company does not control the content of third-party resources and bears no responsibility for their accuracy, legality, or privacy policies.
10. PRIVACY AND DATA PROTECTION
The processing of personal data is governed by a separate Privacy Policy, available at www.parasind.com/privacy-policy.
The Company complies with the requirements of the Law of Ukraine "On Personal Data Protection" and, to the extent applicable, Regulation (EU) 2016/679 (GDPR). These Terms should be read together with the Privacy Policy.
11. EXPORT CONTROLS
The User confirms that the use of products and information from the Site will be carried out in accordance with all applicable export control laws and regulations, including sanctions legislation. The Company reserves the right to refuse to provide information or enter into an agreement if there are grounds to believe that doing so would contravene applicable regulations.
12. TERMINATION OF ACCESS
The Company reserves the right, without prior notice, to restrict or terminate access to the Site for any user who violates these Terms or acts in a manner that causes harm to the Company, other users, or third parties.
13. AMENDMENTS TO THE TERMS
The Company may update these Terms at any time. The current version is always available on the Site with the effective date indicated. Continued use of the Site following the publication of changes constitutes your acceptance of the updated version.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of Ukraine.
The parties undertake to first attempt to resolve any dispute through negotiation within 30 days from the moment the disagreement arises.
If agreement cannot be reached:
— for Ukrainian counterparties — the dispute shall be referred to the competent court at the Company's registered location
— for international counterparties — the dispute may be referred to the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry in accordance with its rules, or to another arbitration body by mutual agreement of the parties
The language of arbitration proceedings shall be Ukrainian or English — as agreed by the parties.
15. FORCE MAJEURE
The Company bears no liability for non-performance or improper performance of obligations arising from force majeure circumstances — including but not limited to: natural disasters, military actions, declaration of a state of emergency, cyberattacks, disruptions to communication networks, or decisions by government authorities.
